Current Services
B2B Market operates an online marketplace connecting Canadian Buyers with wholesale Vendors, including browsing supplier listings, requesting quotes, and managing accounts.
Upcoming Features are not currently available
References to Upcoming Features on the Site or in marketing materials describe our product roadmap only and do not constitute a current offer of credit, financing, or payment terms. When any Upcoming Feature launches, its availability, eligibility criteria, pricing, and terms will be governed by a separate agreement presented to you at that time, which may incorporate terms from a third-party lender or credit-assessment partner. Nothing in these Terms or on the Site should be relied upon as a representation that financing is presently available.
Upcoming Features (BNPL, Net 30/60/90, instant credit) are not currently available. Any references on the Site are roadmap descriptions only not current offers of financing or credit.
4. Accounts
Registration
To access certain features, you must register for a Buyer or Vendor account. You agree to: provide accurate and complete registration information and keep it up to date; maintain the confidentiality of your login credentials; accept responsibility for all activities that occur under your account; and notify us immediately at the contact details in Section 18 of any unauthorized use of your account.
Suspension or termination
We reserve the right to suspend or terminate any account that provides false information, is inactive for an extended period, or is used in violation of these Terms.
5. Vendor Responsibilities
Representations and warranties
Vendors represent and warrant that they: will provide accurate, current, and complete information regarding their business, products, pricing, and certifications; are solely responsible for the accuracy of their listings and for fulfilling any orders or quotes they accept; hold all licences, registrations, permits, and rights necessary to lawfully sell the products they list; and will comply with all applicable laws, including product safety, labelling, and consumer protection laws.
Verification
B2B Market may request supporting documentation to verify a Vendor's business registration and may reject, suspend, or remove any listing that fails verification or appears fraudulent, misleading, or non-compliant.
6. Buyer Responsibilities
Good faith use
Buyers agree that RFQs and communications with Vendors are made in good faith and for legitimate business purposes.
Direct transactions
Any resulting transaction, contract, or payment arrangement is formed directly between the Buyer and the Vendor, unless B2B Market expressly becomes a party (e.g., as administrator of a future financing feature). B2B Market is not responsible for the quality, safety, legality, timeliness, or delivery of products purchased from a Vendor through the Services.
7. Marketplace Role; No Agency; No Guarantee
Intermediary only
B2B Market is an intermediary platform. Except where we expressly state otherwise in writing, B2B Market is not a party to, and assumes no responsibility for, any transaction between a Buyer and a Vendor, and does not act as agent for either party.
No guarantees
We do not guarantee: the accuracy, completeness, or legality of any Vendor listing, price, or certification; the creditworthiness, solvency, or business conduct of any Buyer or Vendor; or that any product will conform to its description or that any transaction will be completed as expected. Users are responsible for independently verifying counterparties before entering into any transaction.
Disputes
Disputes between Buyers and Vendors are the responsibility of those parties to resolve. B2B Market may, but is not obligated to, assist in good faith.
8. Fees
Current pricing
Certain features are currently provided free of charge. We reserve the right to introduce fees for specific features (including premium listings or, eventually, financing-related fees) in the future, with reasonable advance notice and clear disclosure of applicable terms and pricing before any charge applies to you.
9. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in a manner that violates these Terms;
- Submit false, misleading, or fraudulent business, product, identity, or financial information;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- Scrape, harvest, or misuse data belonging to B2B Market or other users;
- Impersonate any person or entity or misrepresent your affiliation with one;
- Upload or transmit malicious code, or attempt to reverse-engineer the Services; or
- Use the Services to harass, defraud, or otherwise harm another user or third party.
We may investigate suspected violations and take appropriate action, including content removal, account suspension or termination, and may report unlawful conduct to relevant authorities.
10. Intellectual Property
B2B Market content
All content on the Site including text, design, graphics, logos, and underlying software is owned by or licensed to B2B Market and protected under Canadian and international intellectual property law. Except as necessary to use the Services as intended, you may not copy, reproduce, distribute, modify, or create derivative works from Site content without our prior written consent.
Vendor content licence
Vendors retain ownership of Content they submit (e.g., product descriptions, images, and specifications) and grant B2B Market a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute that Content solely for the purpose of operating and promoting the Services.
11. Third-Party Links and Services
External services
The Services may link to or integrate with third-party websites, tools, or services (e.g., payment processors, credit-assessment providers) that we do not control. We are not responsible for the content, accuracy, or practices of third-party services, and your use of them is governed by their own terms and privacy policies.
12. Disclaimers
As-is basis
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY VENDOR OR BUYER WILL PERFORM AS REPRESENTED.
Jurisdictional variation
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
Exclusion of consequential damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, B2B MARKET AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY TRANSACTION CONDUCTED THROUGH THE PLATFORM, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Aggregate liability cap
Our total aggregate liability for any and all claims arising from or related to these Terms or the Services will not exceed the greater of (a) the amount you paid to B2B Market in the 12 months preceding the event giving rise to the claim, or (b) CAD $100.
Non-excludable liability
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Canadian law, including liability for gross negligence, wilful misconduct, or death or personal injury caused by our negligence.
14. Indemnification
Your indemnification obligations
You agree to indemnify, defend, and hold harmless B2B Market and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your violation of any right of a third party, including intellectual property or privacy rights.
15. Termination
By B2B Market
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including where we reasonably believe you have violated these Terms.
By you
You may terminate your account at any time by contacting us.
Survival
Sections that by their nature should survive termination (including Sections 10, 12, 14, 16, and 18) will survive.
16. Dispute Resolution and Governing Law
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Jurisdiction
Subject to any mandatory provisions that cannot be waived, you agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
Informal resolution first
Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation by contacting the details in Section 18.
