Acceptance of Terms
Agreement
By accessing or using B2B Markets, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this platform.
Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your business to use our services. By using B2B Markets, you represent and warrant that you meet these requirements.
Account Registration
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
User Responsibilities
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Accurate Information
All information provided on the platform, including product listings, business details, and transaction information, must be accurate and not misleading. Vendors are responsible for the accuracy of their product descriptions and pricing.
Compliance
You agree to comply with all applicable Canadian federal, provincial, and local laws and regulations in connection with your use of the platform, including but not limited to consumer protection laws and tax regulations.
Transactions & Payments
Transaction Process
B2B Markets facilitates transactions between buyers and vendors. We are not a party to the actual sale agreement between buyers and vendors. Each transaction creates a binding contract between the buyer and vendor.
Payment Processing
Payments are processed through our secure payment partners. By making a purchase, you authorize us to charge your designated payment method. All prices are in Canadian dollars unless otherwise specified.
Financing Options
Financing options are subject to credit approval and additional terms. Not all buyers will qualify for financing. Interest rates and terms vary based on creditworthiness and other factors.
Vendor Obligations
Product Quality
Vendors must ensure all products meet the described specifications and quality standards. Products must comply with all applicable Canadian safety and regulatory requirements.
Fulfillment
Vendors are responsible for timely fulfillment of orders, accurate shipping, and proper packaging. Delivery timelines must be clearly communicated and honored.
Customer Service
Vendors must respond to buyer inquiries within 48 hours and handle returns and disputes in accordance with their stated policies and our platform guidelines.
Prohibited Activities
Fraudulent Conduct
Any fraudulent, deceptive, or misleading activities are strictly prohibited. This includes false product claims, fake reviews, price manipulation, and identity misrepresentation.
Illegal Products
The sale of illegal, counterfeit, or prohibited products is not allowed. This includes items that infringe on intellectual property rights or violate any applicable laws.
Platform Abuse
Attempting to circumvent platform fees, manipulate search rankings, or interfere with the platform's operation is prohibited. Violations may result in immediate account termination.
Limitation of Liability
Platform Role
B2B Markets serves as a marketplace platform connecting buyers and vendors. We do not guarantee the quality, safety, or legality of items listed, the truth or accuracy of listings, or the ability of vendors to sell items.
Damages
To the maximum extent permitted by law, B2B Markets shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform.
Dispute Resolution
While we provide tools to help resolve disputes between buyers and vendors, we are not obligated to mediate or resolve disputes. Users agree to attempt good-faith resolution before pursuing legal action.
Modifications & Termination
Terms Updates
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.
Account Termination
We may suspend or terminate your account at our discretion for violations of these terms, fraudulent activity, or any conduct we deem harmful to the platform or other users.
Effect of Termination
Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination will remain in effect, including ownership, warranty disclaimers, and limitations of liability.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
Any disputes arising from these terms or your use of B2B Markets shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
